General Terms and Conditions (GTC)
1. Scope
The following GTC apply to all contracts, deliveries and services between Groh Technologies (hereinafter referred to as "Seller") and the customer (hereinafter referred to as "Buyer"), unless expressly agreed otherwise. Deviating conditions of the buyer are not recognized, unless the seller expressly agrees to them in writing.
2. Offer and conclusion of contract
The seller's offers are non-binding. The contract is concluded when the buyer places an order with the seller and this is confirmed by the seller in writing or by delivery of the goods.
3. Prices and payment terms
All prices are in Swiss francs (CHF) and include the statutory value added tax. Additional costs such as shipping costs will be charged separately and communicated to the buyer before placing the order. The buyer pays the purchase price to the seller's specified bank account or by other agreed payment methods. The buyer is in default if he does not pay the purchase price within 14 days of receiving the payment request.
4. Delivery and shipping
The ordered goods are delivered by the seller to the delivery address specified by the buyer. The shipping costs are borne by the buyer unless otherwise agreed. Delivery is usually made within 5 working days after receipt of the order. If an item is not available, the buyer will be informed immediately.
5. Retention of title
The delivered goods remain the property of the seller until full payment of the purchase price.
6. Warranty and liability
The seller warrants that the delivered goods are free from defects and comply with the agreed specifications at the time of transfer of risk. In case of defects, the buyer is entitled to subsequent performance. The seller is only liable for damages caused by gross negligence or intent.
7. Data protection
The seller undertakes to comply with the data protection regulations and to use the buyer's personal data only within the scope of order processing.
8. Severability clause
If individual provisions of these GTC are or become invalid, the validity of the remaining provisions shall not be affected. A provision that comes closest to the economic purpose of the invalid provision shall replace the invalid provision.
9. Jurisdiction and applicable law
For all disputes arising out of or in connection with these GTC, the competent court at the seller's registered office shall be agreed as the exclusive place of jurisdiction. Swiss law applies, excluding the UN Sales Convention.
10. Changes to the GTC
The seller reserves the right to amend or supplement these GTC at any time. The amended GTC will be communicated to the buyer in writing at least two weeks before they come into effect. If the buyer does not object within two weeks of receiving the notification, the amended GTC shall be deemed accepted.
